Agreement to Our Terms

Boomer Ventures LLC ("Boomer," "we," "us," or "our") operates https://boomerforms.com and related services (the "Service"). Boomer is a form and document collection platform that helps businesses collect, process, and manage information from their clients.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Boomer Ventures LLC governing your access to and use of the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Service. The Service is intended for users who are at least 18 years old. By using the Service, you represent that you meet this requirement.

Use of Service

User Representations

By using the Service, you represent and warrant that: (1) any registration information you submit is true, accurate, current, and complete, and you will promptly update it as needed; (2) you have the legal capacity to agree to these Terms; (3) you will not access the Service through automated or non-human means, except as expressly permitted; (4) you will use the Service only for lawful purposes; and (5) your use of the Service will not violate any applicable law or regulation.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Boomer Ventures LLC. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

Account Registration

To use certain features of the Service, you must register for an account. You agree to keep your login credentials confidential and are responsible for all activity that occurs under your account. You agree to notify us promptly at hello@boomerforms.com if you become aware of any unauthorized use of your account.

User Content

You retain full ownership of any content you submit to or through the Service. By submitting content, you grant Boomer Ventures LLC a limited, non-exclusive license to host, store, process, and transmit such content solely as necessary to provide and operate the Service on your behalf. We do not use, reproduce, or display your content for any other purpose, including marketing, without your separate written consent.

Data Processing Role

If you use the Service to collect, store, or process personal data about your own clients or customers ("Client Data"), you are the data controller for that Client Data and Boomer Ventures LLC acts solely as a data processor, handling that data only on your instructions and as necessary to provide the Service.

You are responsible for ensuring you have a lawful basis to collect and process Client Data, for obtaining any necessary consents, and for complying with applicable data protection laws in how you use the Service. We are not responsible for the accuracy, legality, or appropriateness of any Client Data you submit.

Payments and Billing

Certain aspects of the Service may require payment. You agree to provide accurate billing information. All payments are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time with reasonable notice.

User Data

We perform regular backups as part of our standard operations, described further in our Privacy Policy. You are responsible for the accuracy of any data you submit to the Service. Our liability for any loss of data is subject to the Limitation of Liability section below.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately.

Limitation of Liability

In no event shall Boomer Ventures LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Notwithstanding anything to the contrary in these Terms, our total liability to you for any claim arising from or related to these Terms or the Service, regardless of the form of action, will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Boomer Ventures LLC, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (1) your use of the Service; (2) any Client Data you submit or collect through the Service; (3) your breach of these Terms; or (4) your violation of any applicable law or the rights of a third party.

Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Modifications and Interruptions

We may change, update, or discontinue features of the Service at any time. While we aim to keep the Service available and reliable, we cannot guarantee it will always be available or error-free, and we are not liable for any interruption, delay, or downtime, subject to the Limitation of Liability section above.

Governing Law (EU Users)

For users in the European Union, these Terms shall be governed by and construed in accordance with applicable EU laws. Nothing in these Terms shall affect your statutory rights as a consumer under applicable EU consumer protection legislation.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

Dispute Resolution

If a dispute arises out of or relates to these Terms or the Service, the parties agree to first attempt to resolve it informally by contacting each other and negotiating in good faith for at least 30 days.

If the dispute is not resolved informally, it will be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in the State of Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may bring a claim in small claims court instead of arbitration if it qualifies. Claims that one party seeks injunctive relief to protect its intellectual property rights are not subject to this arbitration requirement.

Any arbitration will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Corrections

The Service may contain typographical errors or inaccuracies, including in pricing or descriptions. We reserve the right to correct any such errors and to update information on the Service at any time without prior notice.

Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Boomer Ventures LLC regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision will not be considered a waiver of that right. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Boomer Ventures LLC.
